Lumos Networks Corp became an independent, publicly traded company on October 31, 2011, as a result of its spin-off from NTELOS Holdings Corp. The Company is a fiber-based bandwidth infrastructure and service provider in the Mid-Atlantic region. It provides services to carriers and enterprise customers, including healthcare providers, local government agencies, financial institutions, educational institutions, and other enterprises over its approximately 7,400 route-mile fiber network. Its main products and services include Multiprotocol Label Switching based Ethernet, Metro Ethernet, Fiber to the Cell site wireless backhaul and data transport services, wavelength transport services and IP services. The Company conducts all of its business through its wholly-owned subsidiary Lumos Networks Operating Company and its subsidiaries. The Company has three reportable business segments; Strategic Data, Legacy Voice and Access. Its strategic data segment operations are based upon, both, its edge-out and on-net strategies that seek to expand into new markets by maximizing the use of its fiber assets while optimizing capital efficiency and profitability. Its legacy voice segment includes the following products: local lines, primary rate interface, long distance, toll and directory advertising and other voice services, excluding voice over IP services which are typically provided to enterprise customers and are included in its strategic data segment. These products are sold to enterprise and residential customers through its competitive local exchange carrier and rural local exchange carrier network. The Company's access segment provides carrier customers access to its network within its footprint and mainly includes switched access services. The Company has developed a fiber optic network of long-haul fiber, metro Ethernet and Ethernet rings located primarily in Virginia and West Virginia, and portions of Pennsylvania, Maryland, Ohio and Kentucky. Its competitors include AT&T, Verizon, Frontier, Windstream, CenturyLink, Level 3, Zayo Time Warner Telecom, Comcast, Shentel, Cox, Time Warner Cable and Suddenlink. Its communications services are subject to various federal, state and local regulations. In addition to FCC regulation, its communications services are regulated to different degrees by state public service commissions and by local authorities.
