MB Financial Corporation is incorporated in the state of Maryland. The Company is a financial holding company and its main market is the Chicago metropolitan area, in which it operates 85 banking offices through its bank subsidiary, MB Financial Bank, N.A. Through MB Financial Bank, the Company offers a range of financial services mainly to small and middle market businesses and individuals in the markets that it serves. The Company's main lines of business include commercial banking, leasing, retail banking and wealth management. Commercial banking includes serving middle market businesses, mainly located in the Chicago metropolitan area. It provides a full set of credit, deposit, treasury management, capital markets, and international banking products to these companies. The Company has a range of credit products for its target market, including working capital loans and lines of credit; accounts receivable financing; inventory and equipment financing; industrial revenue bond financing; business acquisition loans; owner occupied real estate loans; and financial, performance and commercial letters of credit. Leasing includes lease banking as well as lease originations and related services. Lease banking serves equipment leasing companies located throughout the United States. Retail banking has 85 banking offices and approximately 125 ATMs located throughout the Chicago metropolitan area. It also has one branch in Philadelphia, Pennsylvania. The Company's wealth management group offers wealth management solutions to individuals, corporations and not-for-profits. It provides private banking, investment management, custody, personal trust, financial planning and wealth advisory services to business owners, high net worth individuals, foundations and endowments, and private banking services through its private bankers, asset management and trust advisors and Cedar Hill. Estate settlement, guardianship and retirement plan services are provided through its asset management and trust group. The Company's main competitors includes Commercial banks, savings institutions, brokerage firms, credit unions, mutual fund companies, asset management firms, insurance companies and specialty finance companies all compete with it for new and existing customers. The Company, as a bank holding company and financial holding company, is subject to comprehensive regulation by the Board of Governors of the Federal Reserve System.
