Magnum Hunter Resources Corp was incorporated in the State of Delaware on June 4, 1997. The company is an oil and gas company engaged in the exploration for and the exploitation, acquisition, development and production of crude oil, natural gas and natural gas liquids resources in the United States and Canada. It is active in three of the prolific unconventional shale resource plays in North America, mainly , the Marcellus Shale in West Virginia and Ohio; the Utica Shale in southeastern Ohio and western West Virginia; and the Williston Basin/Bakken Shale in North Dakota and Saskatchewan, Canada. Its oil and natural gas reserves and operations are mainly concentrated in West Virginia, Ohio, North Dakota, Saskatchewan, Kentucky and Texas. It is also engaged in midstream and oil field services operations, mainly in West Virginia, Ohio and Texas. At December 31, 2012 it has approximately 73.1 mmboe of estimated proved reserves, of which approximately 62.9% was oil and natural gas liquids and approximately 52% was classified as proved developed producing reserves. The Company faces competition from other oil and natural gas companies, including midstream services companies, in all areas of operation, including the acquisition of leases and properties, the securing of drilling, fracing and other oilfield services and equipment and, with respect to its midstream operations, the acquisition of commitments from third party producers for the gathering of natural gas. Its oil and natural gas exploration and production activities, and its midstream activities, are subject to extensive laws, rules and regulations promulgated by federal, state and foreign legislatures and agencies.
