The Company is a national brokerage firm specializing in commercial real estate investment sales, financing, research and advisory services. As of December 31, 2013, the Company had more than 1,300 investment sales and financing professionals in 76 offices that provide investment brokerage and financing services to sellers and buyers of commercial real estate. It also offers market research, consulting and advisory services to developers, lenders, owners and investors. In 2013, it closed more than 6,600 sales, financing and other transactions. The Company divides the commercial real estate market into three main segments by investment size and focus mainly on the private client segment: Private client segment: properties with prices under $10 million; Hybrid segment: properties with prices equal to or greater than $10 million and less than $20 million; and Institutional segment: properties with prices of $20 million and above. It has developed proprietary technologies for the provision of real estate investment services, such as MNet and iMpact. It also offers proprietary research to clients through its research division. The Company competes with CBRE Group, Inc., Colliers International, NAI, Cushman & Wakefield, Cassidy Turley, Lee & Associates, ONCOR, Coldwell Banker, CORFAC, HFF, Inc., Jones Lang LaSalle among others. The Company is subject to various real estate regulations. It is also subject to various other federal, state and local laws and regulations that contain general standards for, and prohibitions on, the conduct of real estate brokers and sales associates, including agency duties, collection of commissions, telemarketing and advertising and consumer disclosures.
