M&T Bank Corp formerly known as First Empire State Corporation, was incorporated in November 1969. The Company is a New York business corporation and a bank holding company. The Company through subsidiaries provides individuals, corporations and other businesses, and institutions with commercial and retail banking services, including loans and deposits, trust, mortgage banking, asset management, insurance and other financial services. Banking activities are largely focused on consumers residing in New York State, Pennsylvania, Maryland, Virginia and the District of Columbia and on small and medium-size businesses based in those areas. Banking services are also provided in Delaware, West Virginia and New Jersey, while certain subsidiaries also conduct activities in other states. It has two wholly owned bank subsidiaries: M&T Bank and Wilmington Trust, N.A. (formerly named M&T Bank, National Association). The banks collectively offer a range of commercial banking, trust and investment services to their customers. M&T Bank is a banking corporation that is incorporated under the laws of the State of New York. It offers a range of financial services to a diverse base of consumers, businesses, professional clients, governmental entities and financial institutions located in its markets. Lending is largely focused on consumers residing in New York State, Pennsylvania, Maryland, northern Virginia and Washington, D.C., and on small and medium-size businesses based in those areas, although residential and commercial real estate loans are originated through lending offices in 6 other states. M&T Bank and certain of its subsidiaries also offer commercial mortgage loans secured by income producing properties or properties used by borrowers in a trade or business. M&T Bank operates branch offices in New York, Maryland, Pennsylvania, Delaware, New Jersey, Virginia, West Virginia and the District of Columbia. Wilmington Trust, N.A. (formerly named M&T Bank, National Association), a national banking association and a member of the Federal Reserve System and the FDIC, commenced operations on October 2, 1995. It offers selected deposit and loan products on a nationwide basis, through direct mail, telephone marketing techniques and the Internet. The Corporation from time to time considers acquiring banks, thrift institutions, branch offices of banks or thrift institutions, or other businesses within markets currently served by it or in other locations that would complement its business or its geographic reach. It competes in offering commercial and personal financial services with other banking institutions and with firms in a number of other industries, such as thrift institutions, credit unions, personal loan companies, sales finance companies, leasing companies, securities firms and insurance companies. The Company is subject to extensive federal and state regulation and supervision.
