Northeast Bancorp, formerly known as Bethel Bancorp, a Maine corporation chartered in April 1987, is a bank holding company registered with the Board of Governors of the Federal Reserve System ('Federal Reserve') under the Bank Holding Company Act of 1956, as amended. The Company's main subsidiary and main asset is its wholly-owned banking subsidiary, Northeast Bank, which has eleven banking branches. It conducts its loan-related activities through two main channels: its Community Banking Division and its Loan Acquisition and Servicing Group. Its Community Banking Division originates loans directly to consumers and businesses located mainly in its market area in Maine and New Hampshire. Its Loan Acquisition and Servicing Group purchases mainly performing commercial real estate loans, on a nationwide basis, at a discount from their outstanding principal balances, producing yields higher than those normally achieved on the Company's originated loan portfolio. Its originated loan portfolio consists mainly of loans to consumers and businesses in its Community Banking Division's main market area. It originates single-family residential mortgage loans secured by owner-occupied property, and generally sell any such fixed rate loans into the secondary market. It originates multi-family and other commercial real estate loans secured by property located mainly in its Community Banking Division's market area. It originate commercial business loans, including term loans, lines of credit and equipment and receivables financing to businesses located mainly in its Community Banking Division's market area. It originates, on a direct basis, automobile, boat and recreational vehicle loans. Its Loan Acquisition and Servicing Group purchases mainly performing commercial loans secured by income-producing collateral, and from time to time may also originate commercial loans on a nationwide basis. Loans are purchased on a nationwide basis from a variety of sources, including banks, insurance companies, investment funds and government agencies, either directly or indirectly through a broker. The Bank's investment brokerage division, Northeast Financial Services ('Northeast Financial'), offers an array of investment and financial planning products and services through the Bank's branch network. Its securities portfolio and short-term investments provide and maintain liquidity, assist in managing the interest rate sensitivity of its balance sheet, and serve as collateral for certain of its obligations. It offers a line of deposit products to customers in the Community Banking Division's market area through its ten-branch network. Its deposit products consist of demand deposit, NOW, money market, savings and certificate of deposit accounts. Its customers access their funds through ATMs, Mastercard Debit Cards, Automated Clearing House funds (electronic transfers) and checks.
