Business Description

Oceanfirst Financial Corporation was incorporated under Delaware law and has served as the holding Company for OceanFirst Bank (the "Bank") since the Bank's conversion from mutual to stock form in 1996. The Bank's main business is attracting deposits from the general public in the communities surrounding its branch offices and investing those deposits mainly in single-family, owner-occupied residential mortgage loans and, more recently, in commercial real estate loans. It also invests in other types of loans, including multi-family, construction, consumer and commercial loans. In addition, the Bank invests in mortgage-backed securities, securities issued by the U.S. Government and agencies thereof, corporate securities and other investments permitted by applicable law and regulations. The Bank periodically sells part of its mortgage loan production in order to manage interest rate risk and liquidity. Its revenues are derived mainly from interest on its loans, and to a lesser extent, interest on its investment and mortgage-backed securities. It also receives income from fees and service charges on loan and deposit products, and from the sale of trust and asset management services and alternative investment products, e.g., mutual funds, annuities and life insurance. The Bank's main sources of funds are deposits, principal and interest payments on loans and mortgage-backed securities, proceeds from the sale of loans, Federal Home Loan Bank ("FHLB") advances and other borrowings and to a lesser extent, investment maturities. The Bank's competition for loans comes from commercial banks, savings banks, savings and loan associations, credit unions, mortgage banking companies and insurance companies. Its most direct competition for deposits come from commercial banks, savings banks, savings and loan associations and credit unions although the Bank also faces competition for deposits from short-term money market funds, other corporate and government securities funds, internet-only providers and from other financial service institutions such as brokerage firms and insurance companies. The Company is a savings and loan holding Company subject to regulation by the Board of Governors of the Federal Reserve System (the "FRB") and the Securities and Exchange Commission ("SEC"). The Bank is subject to regulation and supervision by the Office of the Comptroller of the Currency ("OCC") and the Federal Deposit Insurance Corporation ("FDIC").
