OFS Capital Corp is a Delaware corporation formed on November 7, 2012. The Company is an externally managed, closed-end, non-diversified management investment company. It has elected to be treated as a business development company under the Investment Company Act of 1940. Its investment objective is to provide its shareholders with both current income and capital appreciation through debt investments. Its investment strategy is to invest in senior secured debt investments to middle market companies and, to a lesser extent, junior capital, including mezzanine debt and preferred and common equity. The Company has entered into an investment advisory and management agreement with OFS Capital Management, LLC, under which the investment advisor manages the day-to-day operations of, and provides investment advisory services to the company. The Company's competitors in providing financing to middle-market companies include public and private funds, other business development companies, commercial and investment banks, commercial finance companies and, to the extent they provide an alternative form of financing, private equity and hedge funds. The Company and its portfolio companies is subject to regulation by laws at the U.S. federal, state and local levels, including those that govern BDCs, RICs or non-depository commercial lenders.
