Pinnacle West Capital was incorporated in 1985 under the laws of the State of Arizona. Pinnacle West is a holding company that conducts business through its subsidiaries. APS is a vertically-integrated electric utility that provides either retail or wholesale electric service to most of the State of Arizona, with the major exceptions of about one-half of the Phoenix metropolitan area, the Tucson metropolitan area and Mohave County in northwestern Arizona. Its reportable business segments are the regulated electricity segment, which consists of traditional regulated retail and wholesale electricity businesses (primarily electric service to Native Load customers) and related activities, and includes electricity generation, transmission and distribution, and the real estate segment, which consists of real estate development and investment activities in the western United States. Pinnacle West's other first-tier subsidiaries are SunCor, APSES and El Dorado SunCor is a developer of residential, commercial and industrial real estate projects in Arizona, Idaho, New Mexico and Utah. APSES provides energy-related products and services (such as energy master planning, energy use consultation and facility audits, cogeneration analysis and installation, and project management) with a focus on energy efficiency and renewable energy to commercial and industrial retail customers in the western United States. APSES also owns and operates district cooling systems. El Dorado owns minority interests in several energy-related investments and Arizona community-based ventures. El Dorado's short-term goal is to prudently realize the value of its existing investments. On a long-term basis, Pinnacle West may use El Dorado, when appropriate, for investments that are strategic to the business of generating, distributing and marketing electricity. APS is subject to varying degrees of competition from other investor-owned electric and gas utilities in Arizona, as well as cooperatives, municipalities, electrical districts and similar types of governmental or non-profit organizations.
