Business Description

Synopsys was incorporated in 1986 in North Carolina and reincorporated in Delaware in 1987. The Company is engaged in the electronic design automation (EDA) software and related services for semiconductor design companies. It delivers semiconductor design and verification software platforms and integrated circuit (IC) manufacturing software products to the global electronics market, enabling the development and production of complex systems-on-chips (SoCs). In addition, it provides intellectual property (IP), system-level design hardware and software products, and design services to simplify the design process and accelerate time-to-market for its customers. Finally, it provides software and services that help customers prepare and optimize their designs for manufacturing. The Company's products and services are divided into five common groupings: Galaxy(tm) Design Platform and Discovery(tm) Verification Platform (which are typically sold and reported together as Core EDA), Intellectual Property (IP) and System-Level Solutions, Manufacturing Solutions, and Professional Services. The Company's Galaxy Design Platform provides its customers with a single, integrated IC design solution which includes individual products and which incorporates common libraries and consistent timing, delay calculation and constraints throughout the design process. The Company's Discovery Verification Platform is an integrated and comprehensive portfolio of functional, analog/mixed-signal, formal and low-power verification solutions. Synopsys' IP portfolio includes its IP products and components. Responding to the portfolio demands of designers seeking solutions to reduce their design risk and time-to-market, Synopsys offers a broad portfolio of silicon-proven digital, PHY, analog and verification IP for SoC designs. The Company's Manufacturing Solutions products and technologies address the mask-making and yield enhancement of very small-geometry ICs, as well as very high-level modeling of physical effects within the ICs. It typically licenses its software to customers under non-exclusive license agreements that transfer title to the media only and restrict use of its software to specified purposes within specified geographical areas. The Company is subject to rules and regulations promulgated by a number of governmental and self-regulated organizations, including the SEC, NASDAQ and the Public Company Accounting Oversight Board.
