Technical Communications Corp was organized in 1961 as a Massachusetts corporation. The Company is engaged in the design, development, manufacture, distribution, marketing and sale of communications security devices and systems. The Company's products consist of sophisticated electronic devices that enable users to transmit information in an encrypted format and permit receivers to reconstitute the information in a deciphered format if the recipient possesses the right decryption 'key'. The Company's products can be used to protect confidentiality in communications between radios, telephones, facsimile machines and data processing equipment over wires, fiber optic cables, radio waves, and microwave and satellite links. The Company's products consist primarily of voice, data and facsimile encryptors. Revenue is generated primarily from the sale of these products, which have traditionally been to foreign governments. However, it has also sold these products to commercial entities and U.S. government agencies. It historically and presently designs and develops its own equipment and software to meet the requirements of general secure communications applications, as well as the custom-tailored requirements of specific users. Its products are sold worldwide through a variety of channels depending on the country and the customer. The Company sells directly to customers, original equipment manufacturers ('OEMs') and value-added resellers using its in-house sales force as well as domestic and international representatives, consultants and distributors. International sales are made primarily through its main office. Its principal competitors include Crypto AG, Thales Group, Motorola Solutions, Inc., General Dynamics Corporation, Omnisec AG, Cisco Systems, Inc., SafeNet, Inc. and Alcatel-Lucent. As a party to a number of contracts with the U.S. government and its agencies, the Company must comply with extensive regulations.
