Business Description

Western Gas Partners, LP is a Delaware limited partnership formed in August 2007 organized by Anadarko Petroleum Corporation to own, operate, acquire and develop midstream energy assets. The Company is engaged in the business of gathering, processing, compressing, treating and transporting natural gas, condensate, NGLs and crude oil for Anadarko Petroleum Corporation and its consolidated subsidiaries, as well as third-party producers and customers. As of December 31, 2011, its assets consist of eleven gathering systems, seven natural gas treating facilities, seven natural gas processing facilities, one NGL pipeline, one interstate pipeline that is regulated by the Federal Energy Regulatory Commission ("FERC"), and interests in Fort Union and White Cliffs, which are accounted for under the equity method. The Company's assets are located in East and West Texas, the Rocky Mountains (Colorado, Utah and Wyoming), and the Mid-Continent (Kansas and Oklahoma). The Company's competitors include other midstream companies, producers, and intrastate and interstate pipelines. The Company is subject to a number of federal and state laws and regulations, including the federal Occupational Safety and Health Act, as amended ("OSHA") and comparable state statutes, the purposes of which are to protect the health and safety of workers, both generally and within the pipeline industry.
