Stewart & Co., Ltd., together with its subsidiaries, is a research-focused investment adviser that manages assets for high net-worth individuals and institutions located throughout the world. While investment performance is Company's primary focus, asset gathering is also important to its business. The Company places great emphasis on teamwork and client service. W.P. Stewart & Co., Ltd. concentrates its investments in large, generally less cyclical, growing businesses. Its principal source of revenues is investment advisory fees and, accordingly, fluctuations in financial markets and client contributions and withdrawals have a direct effect on revenues and net income. The Company's business and the investment management industry in general are subject to regulation in Bermuda, the United States at both the federal and state levels, the United Kingdom, the Republic of Ireland and The Netherlands, as well as by various self-regulatory organizations, or SROs as they are commonly known, in these and other jurisdictions. Research and administration expenses include research, travel and entertainment, communications, information technology systems support and occupancy. Marketing expenses represent costs associated with its internal marketing initiatives and client servicing activities, and include client seminars, marketing related travel, marketing related compensation and other operational expenses. At December 31, 2005, W.P. Stewart & Co. employed 117 persons.
