Xerium Technologies, Inc.'s business was organized in 1999 in connection with the acquisition of the paper technology group of Invensys plc. It completed its initial public offering and reorganization on May 19, 2005. The Company is global manufacturer and supplier of two types of consumable products used mainly in the production of paper-clothing and roll covers. The Company's products play key roles in the formation and processing of paper along the length of a paper-making machine. Paper producers rely on the Company's products and services to help improve the quality of their paper, differentiate their paper products, operate their paper-making machines more efficiently and reduce production costs. Its products and services typically represent only a small fraction of a paper producer's overall production costs, yet they reduce costs by permitting the use of lower-cost raw materials and reducing energy consumption. Its products are designed to withstand extreme temperature, chemical and pressure conditions, and are the result of a considerable investment in research and development and sophisticated manufacturing processes. The Company operates in two main business segments: clothing and roll covers. In its clothing segment, the Company manufactures and sells highly engineered synthetic textile belts that transport paper as it is processed on a paper-making machine. Its roll cover products provide a surface with the mechanical properties necessary to process the paper sheet in a cost-effective manner that delivers the sheet qualities desired by the paper producer. Roll covers are tailored to each individual paper-making machine and process, using different materials, treatments and finishings. In addition to manufacturing and selling new roll covers, the Company also provides refurbishment services for previously installed roll covers and manufacture spreader rolls. Additionally, it provides various related products and services to its customers, both directly and through third party providers, as a growing part of its overall product offering through its roll covers sales channels. The Company's operations are strategically located in the paper-producing regions of North America, Europe, South America and Asia-Pacific. Its largest competitors are Albany International Corporation, which supplies clothing products, Voith AG, which supplies both clothing and roll products and Metso Corporation, which supplies roll products. It also faces competition from smaller regional suppliers. The Company competes mainly based on the value and price of its products. Competition with respect to both clothing and roll covers, particularly as it relates to its technologically advanced forming fabrics, press felts and roll covers, is based mainly on the value that the products deliver to the paper producer through the ability of such products to reduce production costs and improve paper quality. The Company's operations and facilities are subj
