Expedia Inc is an online travel company. The Company makes travel products and services available from a variety of hotel companies, large and small commercial airlines, car rental companies, cruise lines and destination service providers. It offers on a stand-alone and package basis, travel products and services provided by numerous airlines, lodging properties, car rental companies, destination service providers, cruise lines and other travel product and service companies. The Companys main customers include a range of leisure and corporate travelers, offline retail travel agents and travel service providers. Travel suppliers distribute and market products via its sites, its private label business and its call centers in order to reach its extensive, global audience, including the approximately 50 million unique visitors that visit its sites on a monthly basis. Its portfolio of brands includes Expedia.com, a full service online travel agency with sites in 30 countries; Hotels.com, a hotel-only booking service with more than 85 sites worldwide; Hotwire.com, a discount travel provider with sites in 11 countries; Expedia Affiliate Network (EAN), which powers travel for some of the worlds largest travel and non-travel brands, as well as more than 10,000 active affiliates worldwide; Classic Vacations, a luxury travel specialist,; Expedia Local Expert (ELE), a destination services and concierge services provider; Expedia CruiseShipCenters, with home-based agents and retail locations in the United States and Canada; Egencia, the worlds fifth largest corporate travel management company; eLong, Inc. (eLong), Chinas second largest online travel company; and Venere.com, a European online hotel specialist. The Companys competitors includes online and offline travel companies that target leisure and corporate travelers, including travel agencies, tour operators, travel supplier direct websites and their call centers, consolidators and wholesalers of travel products and services, search engines, such as Google and Bing, and certain travel meta-search engines. The Companys must comply with laws and regulations relating to the travel industry and the provision of travel services, including registration in various states as sellers of travel and compliance with certain disclosure requirements and participation in state restitution funds. In addition, their businesses are subject to regulation by the U.S. Department of Transportation and must comply with various rules and regulations governing the provision of air transportation, including those relating to advertising and accessibility.
