Hudson Pacific Properties, Inc., was formed in the state of Maryland in 2009. It is a full-service, vertically integrated real estate company focused on owning, operating and acquiring high-quality office and media and entertainment properties in select growth markets primarily in Northern and Southern California. These markets include Los Angeles, Orange County, San Diego, San Francisco, Silicon Valley and the East Bay, which it refers to as target markets. Its main business objectives are to increase operating cash flows, generate long-term growth and maximize stockholder value. Upon completion of this offering and consummation of the formation transactions, As of December 31, 2012, its stabilized portfolio consisted of 21 wholly-owned properties, located in eight California submarkets, containing a total of approximately 5.3 million square feet, which it refer to as its portfolio. It competes with numerous developers, owners and operators of office properties, many of which own properties similar to it are in the same submarkets in which properties are located. The properties in its initial portfolio are subject to various covenants and federal, state and local laws and regulatory requirements, including permitting and licensing requirements.
