Golden Minerals Co is an exploration stage company. The Company is engaged mining, construction and exploration of precious metals mineral properties in Mexico and Argentina.

Golden Minerals Co was incorporated in Delaware under the Delaware General Corporation Law on March 24, 2009 and is the successor to Apex Silver Mines Ltd. The Company is an exploration stage company. The Company is engaged in mining, construction and exploration of precious metals mineral properties. It owns and operates Velardeña and Chicago precious metals mining properties and associated oxide and sulfide processing plants in the State of Durango, Mexico, the El Quevar exploration property in the province of Salta, Argentina, and a diversified portfolio of precious metals and other mineral exploration properties located in or near historical precious metals producing regions of Mexico. The Company reports two segments, one for its Velardeña Properties in Mexico and the other comprised of non-revenue producing activities including exploration, construction and general and administrative activities. It competes with other mining companies for the acquisition and retention of skilled mining engineers, mine and processing plant operators and mechanics, geologists, geophysicists and other experienced technical personnel. The Company's Mexican properties are subject to various governmental regulations governing health and worker safety, employment standards, waste disposal, protection of historic and archaeological sites, mine development, protection of endangered and protected species, purchase, storage and use of explosives and other matters. Also its activities related to the Velardeña Properties are subject to regulation by SEMARNAT, the Comision Nacional del Agua, which regulates water rights, and Mexican mining laws.
