(inaudible) gentlemen, it's 09:00 AM Pacific Time, and I would like to officially call to order the Biora Therapeutics special meeting of stockholders. This is Ari Mohanty, CEO of Biora Therapeutics, and I will be acting as Chairman of the meeting. The agenda and rules of conduct have been provided on the virtual meeting website and outline how we will proceed. We ask that participants abide by these rules.

You may vote your shares online at any time during this meeting prior to the closing of the polls. The polls open at the beginning of the meeting, and we'll close the polls on all matters immediately after the presentation of today's proposals. As stated in the proxy materials, any shares of Series X preferred stock that were not presented in person or by proxy as of immediately prior to the meeting of the polls -- sorry, prior to the opening of the polls have been automatically redeemed and will not be considered outstanding or entitled to vote.
