Key Points

Positve
  • Tinexta (STU:7T4) delivered a very strong cash flow performance in H1 2026, with free cash flow from continuing operations reaching EUR53 million, up 39% year-over-year, and EUR85 million on an LTM basis.
  • The Digital Trust business unit performed exceptionally well, with revenues growing 3.8% and EBITDA surging 13.4%, achieving a record-high EBITDA margin of 30.2%.
  • The company successfully reduced costs in Digital Trust, lowering production costs by 5% and G&A costs by 8%, which contributed to its strong margin expansion.
  • Business Innovation, excluding the troubled ABF segment, returned to positive growth, with satisfactory incoming orders for the hyperammortamento campaign positioning it for a strong Q4.
  • Despite a challenging environment, Tinexta (STU:7T4) maintained a well-controlled financial position, with a leverage ratio of 3.36x, below the 3.5x target, even after accounting for acquisition-related debt.
  • The voluntary tender offer by Zinc BidCo was successful, with the offer reaching 90.36% of share capital, providing clarity on the company's future ownership structure.
Negative
  • Tinexta (STU:7T4)'s Cybersecurity business unit was deeply impacted, with revenues declining 17% and EBITDA plummeting 59%, dragging down overall group performance.
  • The company's overall adjusted EBITDA declined 3% year-over-year, and reported net profit was deeply negative at EUR43 million, largely due to a significant impairment related to the ABF business.
  • The ABF business within Business Innovation faced a severe market downturn, with the success rate of filings collapsing from 71% to just 24% in H1 2026.
  • The company incurred significant non-recurring costs related to the public tender offer, including legal fees and fairness opinions, which weighed on profitability.
  • Tinexta (STU:7T4) was forced to revise its full-year 2026 guidance downward, now expecting revenue growth of only 0-2% (down from 3-4%) and EBITDA growth of 2-4% (down from 6-7%).
  • Net financial position deteriorated to EUR343 million from EUR240 million at the end of FY2025, primarily due to the estimated cost of exercising the call option on Bregal Milestone.
