GRI Bio Inc Extraordinary Shareholders Meeting Transcript
Good morning. I'm Dr. Marc Hertz, Chief Executive Officer of GRI Bio Inc. And I'm very happy to welcome you to a special meeting of stockholders of GRI Bio Inc. I will act as chairperson of this meeting. Before proceeding to the business of the meeting, I'd like to introduce you to Leanne Kelly, Chief Financial Officer of the company, who will act as secretary of the meeting.
Also present today is Melanie Ruthrauff Levy from Mintz, Levin, Cohn, Ferris, Glovsky, and Popeo PC, the companies outside legal counsel, and Gary Wozniak of Broadridge Corporate Issuer Solutions Inc. Who will act as the inspector of elections for this meeting.
This meeting is held pursuant to a printed notice mailed on or about December 29, 2025, to each stockholder of record who is entitled to vote at this meeting. The count of shares present immediately prior to the commencement of the meeting indicated that 4,874,725 shares of the company's voting capital stock were present in person or by proxy.
