Lincoln Electric Holdings, Inc., manufactures welding, cutting and brazing products. Its welding product includes arc welding power sources, wire feeding systems, robotic welding packages, fume extraction equipment, consumable electrodes and fluxes.

Lincoln Electric Holdings, Inc., began operations in 1895 and was incorporated under the laws of the State of Ohio in 1906. It is a manufacturer and reseller of welding and cutting products. Welding products include arc welding power sources, wire feeding systems, robotic welding packages, fume extraction equipment, consumable electrodes and fluxes. The Company's product offering also includes computer numeric controlled plasma and oxy-fuel cutting systems and regulators and torches used in oxy-fuel welding, cutting and brazing. The Company has aligned its business units into five operating segments to enhance the utilization of the company's worldwide resources and global end user and sourcing initiatives. The operating segments consist of Americas Welding, International Welding and The Harris Products Group. The Americas Welding segment includes welding operations in North and South America. The Proposed Acquisition is subject to a definitive agreement between the parties and customary conditions and provisions for a transaction of this type, including the “information-consultation” process with the employee representative bodies and the applicable competition authorities’ approval. As the parties have not yet reached a definitive agreement regarding the transaction, there can be no assurance that a definitive agreement will be entered into, or that a transaction will be consummated.
