Good day and welcome to the special meeting of stockholders of Prose Holdings Inc. I would now like to turn the conference over to Jeff Cotton. Please go ahead.
Thank you, operator, and welcome to the special meeting of stockholders of Prose Holdings. It is now 2:00 p.m. Central time and the meeting will now come to order. My name is Jeff Cotton, and I am the President and Chief Executive Officer and the director of Prose.
I will preside over this meeting, and I would like to introduce the following attendees who are present today through our virtual meeting. The first is Damien Althoff, our general counsel and corporate secretary. Next we have Louis Larson from Broadridge Financial Solutions who will act as Inspector of Election for this meeting, and finally we have Jeffrey Scharfstein from DLA Piper, the company's outside counsel.
