Good morning and thank you all for attending the Special Meeting. My name is Jonathan Maroko, and I'm the Interim CFO of Faraday Future Intelligent Electric, Inc. Pursuant to the company's bylaws, I will act as Chairman of today's meeting, and Scott Graziano, our General Counsel, will act as Secretary of today's meeting. I'm joined virtually by members of the Board of Directors and Executive Management.

For purposes of today's meeting, the company has appointed Christel Pauli, a representative of American Election Services, LLC as Inspector of Elections. Ms. Pauli has signed the customary oath of office to execute her duties with strict impartiality. We will file this oath with the records of the meeting.
