Special Meeting Results Pave Way for Merger with The Interpublic Group of Companies

Omnicom Group Inc. (OMC, Financial), a leading global marketing and corporate communications company, recently held a special meeting of stockholders on March 18, 2025. The meeting was convened to vote on critical matters related to the proposed merger with The Interpublic Group of Companies, Inc. (IPG), as outlined in the Agreement and Plan of Merger dated December 8, 2024.

The merger agreement stipulates that Omnicom's wholly owned subsidiary, EXT Subsidiary Inc., will merge with IPG, resulting in IPG becoming a wholly owned subsidiary of Omnicom. This strategic move is anticipated to enhance Omnicom's market position and expand its service offerings.

During the special meeting, a significant quorum was achieved with 166,768,270 shares of Omnicom common stock represented, out of a total of 196,480,662 shares entitled to vote. Stockholders voted on two key proposals:

Proposal 1: Omnicom Issuance Proposal
Stockholders approved the issuance of Omnicom common stock to IPG stockholders as part of the merger agreement. This approval is a crucial step in facilitating the merger process.

Proposal 2: Omnicom Adjournment Proposal
The proposal to adjourn the special meeting, if necessary, to solicit additional proxies was also approved. However, since the Omnicom Issuance Proposal was successfully passed, the adjournment was not required, and the meeting concluded without delay.
