First Phosphate Corp. has announced the voluntary filing of Form 15F with the United States Securities and Exchange Commission (SEC) to terminate its registration and reporting obligations under the Securities Exchange Act of 1934. The move is intended to streamline the company's financial reporting processes and reduce associated administrative costs.

The company's common shares will continue to be traded on the Canadian Securities Exchange, OTCQB, and the Frankfurt Stock Exchange, ensuring uninterrupted market presence despite the SEC deregistration. The suspension of SEC reporting obligations took effect immediately upon the filing on April 30, 2025, and the registration is expected to be fully terminated 90 days later.

First Phosphate initially registered with the SEC in April 2024 to resolve a legacy reporting issue prior to the current management's tenure. With the matter now settled, the company determined that continued SEC registration is not necessary for its short-term operational strategy.

Investors will still have access to the company's financial reports and continuous disclosure filings via SEDAR, maintaining compliance with Canadian securities regulations. First Phosphate remains committed to its core business of developing and providing high-purity phosphate for the Lithium Iron Phosphate battery industry, with a focus on sustainability and low carbon impact.
