The company sold 25 million units at $10 per unit, including 3 million units from the partial exercise of the underwriters' over-allotment option. This upsized offering reflects strong market demand despite the broader challenges in the SPAC market.
Each unit in the offering consists of one Class A ordinary share and one-half of a redeemable warrant. Each whole warrant permits the holder to purchase one Class A ordinary share at a price of $11.50. As per standard SPAC practice, the entire $250 million of IPO and private placement proceeds have been placed in a trust account for the benefit of public shareholders, providing a secure investment until a business combination is realized.
