Spark Energy Minerals Inc. (CSE: SPRK, OTC: SPARF) has announced a significant amendment to the exercise price of 15,000,000 unlisted common share purchase warrants. Originally priced at $0.15 per share, the warrants will see a reduction to $0.075 per share, effective June 2, 2025. This change follows the company’s strategic acquisition of Tristar Energy Corp on March 15, 2024.

The Canadian Securities Exchange has approved this adjustment, ensuring the repricing is in compliance with regulatory standards. The terms of expiry for these warrants remain the same, concluding on March 15, 2026. Spark Energy views this move as a method to make warrant exercising more appealing to holders.

Despite this positive development for warrant holders, the company acknowledges a potential 50% reduction in capital that could be raised if these warrants are exercised at the new rate—down from $2.25 million to $1.125 million. Additionally, if exercised, this reduction may have a dilutive impact on existing shareholders.

Spark Energy Minerals, a Canadian entity, concentrates on battery metals and mineral resources, prominently in Brazil’s Lithium Valley. Their flagship Arapaima Lithium project encompasses 64,359 hectares in this region, underscoring Brazil’s growing significance in the global energy transition.
