Unusual Machines (UMAC) has entered into a definitive agreement to acquire Rotor Lab, an Australian manufacturer of high-performance electric motors for drones, in a transaction valued at $7.0 million. The deal primarily involves stock and includes a $3.0 million earnout. This strategic acquisition will bolster Unusual Machines' efforts to enhance its supply chain resilience and manufacturing capabilities across the U.S. and Australia.

Founded in 2022, Rotor Lab specializes in electric motors for both commercial and defense drone applications. The acquisition is expected to complement the upcoming U.S. manufacturing operations for Unusual Machines, which plans to commence its Orlando-based motor factory operations by September 2025. The Canberra facility of Rotor Lab will serve as the engineering hub for designing, prototyping, and low-to-medium volume production of motors.

The completion of this acquisition is subject to customary closing conditions, including an employment agreement with Rotor Lab's CEO, Andrew Simpson, and obtaining necessary regulatory approvals. The integration of Rotor Lab's capabilities is expected to aid Unusual Machines in becoming a leading Tier-1 parts supplier in the expanding U.S. drone industry.
