Digital Commodities Capital Corp. (ticker: DGCMF) has announced the execution of a definitive Bitcoin purchase facility with VanCrypto Tech LTD, following a prior letter of intent. This strategic partnership provides a flexible, 24-month framework for acquiring Bitcoin that will end on June 18, 2027, and permits purchases using cash, common shares, or warrants. The agreement offers Digital Commodities an innovative way to increase its Bitcoin exposure without resorting to traditional financing methods or incurring debt.

VanCrypto is known for its renewable energy-powered cryptocurrency mining operations located in Western Canada. This collaboration gives Digital Commodities a strategic edge, leveraging a non-exclusive arrangement to purchase Bitcoin, thereby enhancing its position in the cryptocurrency market while adhering to prudent capital management strategies. CEO Brayden Sutton highlighted this approach as effective for maintaining capital integrity while providing the company with an opportunity to respond swiftly to market conditions.

Each transaction under the facility will be subject to comprehensive due diligence processes, including ownership verification and Anti-Money Laundering (AML) compliance checks. Securities issued through this facility will be under a statutory four-month-and-one-day hold period, as per applicable securities laws, alongside a concurrent hold period under Canadian Securities Exchange (CSE) policies.
