Hewlett Packard Enterprise (HPE) and Juniper Networks (JNPR) have announced a settlement with the U.S. Department of Justice, which clears the path for HPE’s planned acquisition of Juniper Networks. The agreement, pending court approval, resolves the DOJ’s concerns regarding the merger and enables the transaction to finalize.

The acquisition, initially announced on January 9, 2024, entails an all-cash transaction of $40.00 per share, valuing Juniper Networks at approximately $14 billion. The integration aims to merge HPE's Aruba Networking with Juniper Networks, facilitating a robust offering of secure, AI-native networking solutions. This strategic move is expected to significantly benefit enterprise, service provider, and cloud segments by offering an alternative to traditional networking solutions.

As part of the settlement terms, HPE has agreed to divest its global Instant On campus and branch business. Additionally, HPE will provide limited access to Juniper's advanced Mist AIOps technology post-acquisition. The agreement maintains the transaction's value for HPE's customers, partners, and shareholders while fostering enhanced competition and innovation within the sector.
