Juniper Networks Becomes Wholly Owned Subsidiary of Hewlett Packard Enterprise

Juniper Networks, Inc. (JNPR, Financial), a leading provider of networking solutions, has successfully completed its merger with Hewlett Packard Enterprise Company. The merger, initially announced on January 9, 2024, was finalized on July 2, 2025. As a result, Juniper Networks is now a wholly owned subsidiary of Hewlett Packard Enterprise.

Under the terms of the merger agreement, each share of Juniper Networks' common stock was converted into the right to receive $40.00 in cash, resulting in an aggregate merger consideration of approximately $14 billion. This transaction marks a significant milestone for both companies, enhancing their capabilities and market reach.

In conjunction with the merger, Juniper Networks has repaid and terminated its existing credit agreement. Additionally, the company has notified the New York Stock Exchange (NYSE) of the merger's completion, leading to the suspension of trading and delisting of its common stock from the NYSE. Juniper Networks intends to deregister its common stock and suspend its reporting obligations with the Securities and Exchange Commission.

The merger also resulted in a change in control, with the board of directors of Juniper Networks resigning and being replaced by directors from the merger subsidiary. Furthermore, the company's certificate of incorporation and bylaws have been amended to align with those of the merger subsidiary.

As part of a settlement with the United States Department of Justice, Hewlett Packard Enterprise has agreed to divest its Instant On business and conduct an auction for the non-exclusive licensing of Juniper Networks' Mist AIOps source code used in WLAN products.

This strategic merger is expected to create synergies and drive innovation, positioning the combined entity for future growth in the competitive networking industry.
