The retailer is expanding its board to 12 seats, keeping five current directors (including CEO Michael Witynski) and adding five new ones who are independent of Mantle Ridge. This all comes after a tense standoff that began in December when Mantle Ridge nominated a full slate of 11 directors, frustrated by what it saw as lagging share performance. While the retailer once built its brand on everything-for-a-dollar, inflation and freight costs forced a price hike to $1.25 across most products—a move that ruffled some feathers but may have helped protect margins.

For Hilal, this marks a familiar playbook. He's pulled off similar boardroom shake-ups at CSX and Aramark—both of which replaced CEOs not long after. With Dreiling's experience running Dollar General and a new team at the table, this could be the beginning of a strategy refresh. Whether that means a deeper review of operations, store pricing, or even potential M&A remains to be seen—but Dollar Tree's latest board remix is setting the stage for something bigger.
