Orion Properties Inc. (ONL) has confirmed the receipt of a revised, unsolicited, non-binding indication of interest from Kawa Capital Management. Kawa's new proposal suggests acquiring all outstanding shares of Orion that it does not already own, for a cash consideration of $2.75 per share. This comes after a previous offer of $2.50 per share, which was rejected by Orion's Board on July 9, 2025.

The revised proposal will undergo careful evaluation by Orion's Board of Directors, who will consult their independent legal and financial advisors to determine the optimal course of action for the company and its shareholders. Orion has stated that its shareholders do not need to take any action at this time and that no further comments will be made until the review process is completed.

Orion Properties Inc., an internally-managed real estate investment trust, manages a diverse portfolio of office properties in suburban markets across the United States. The company, which spun off from Realty Income (O) in 2021, is advised by Wells Fargo and Hunton Andrews Kurth LLP in this matter.
