SS&C Technologies Holdings, Inc. (SSNC) has entered a definitive agreement to acquire Calastone, the leading global funds network, for around £766 million (approximately US$1.03 billion). This strategic acquisition from global investment firm Carlyle is set to conclude in the fourth quarter of 2025, subject to regulatory approvals. SS&C aims to finance the acquisition with a combination of debt and cash on hand and expects it to be accretive within 12 months of closing.

Calastone, headquartered in London, connects over 4,500 financial organizations across 57 markets. Its technological solutions, geared towards the wealth and asset management industries, align with SS&C's vision to create a more connected, automated global fund ecosystem. By integrating Calastone's network, SS&C will bolster its presence in fund administration and transfer agency services while expanding its geographic reach.

The acquisition will result in Calastone's 250 employees across London, Luxembourg, Hong Kong, Taipei, Singapore, New York, and Sydney joining SS&C Global Investor & Distribution Solutions under the leadership of General Manager Nick Wright. “We’re excited to welcome the Calastone team and their valued clients to SS&C,” stated Bill Stone, Chairman and CEO of SS&C Technologies. The combined capabilities of SS&C and Calastone aim to innovate and transform global investment operations by reducing complexity, cost, and operational risks while enhancing client experiences.

Julien Hammerson, CEO of Calastone, expressed enthusiasm about the merger, highlighting the accelerated innovation and enhanced digital capabilities the combined entity will bring to asset and wealth managers worldwide. Meanwhile, Carlyle expressed confidence in SS&C’s ability to sustain and build upon Calastone’s business momentum.
