German American Bancorp is a financial service holding company. The Company provides retail and commercial banking, financial planning, brokerage and trust administration and a full range of personal and corporate insurance products.

German American Bancorp is a financial services holding company. The Company operates 37 retail and commercial banking offices in 13 southern Indiana counties. The Company also owns a trust, brokerage, and financial planning subsidiary and a property and casualty insurance agency. The Company's lines of business include retail and commercial banking, financial planning, full service brokerage and trust administration, and a range of personal and corporate insurance products. The Company opened a loan production office in Columbus, Indiana as an entry point into the Columbus market. The Company's operations are mainly comprised of three business segments: core banking, trust and investment advisory services, and insurance operations. The core banking segment involves attracting deposits from the general public and using such funds to originate consumer, commercial and agricultural, commercial and agricultural real estate, and residential mortgage loans in the Company's local markets. The core banking segment also involves the sale of residential mortgage loans in the secondary market. The core banking segment is comprised by the Company's banking subsidiary, German American Bancorp. The trust and investment advisory services segment involves providing trust, investment advisory, and brokerage services to customers. The trust and investment advisory services segment's is comprised of German American Financial Advisors & Trust Company. The insurance segment offers a full range of personal and corporate property and casualty insurance products, in the Company's banking subsidiary's local markets. The insurance segment consists of German American Insurance, Inc., which provides personal and corporate insurance products. The Company's subsidiaries compete for commercial and retail banking business within its core banking segment. It competes for loans and deposits not only with commercial banks but also with savings and loan associations, savings banks, credit unions, production credit associations, federal land banks, finance companies, credit card companies, personal loan companies, investment brokerage firms, insurance agencies, insurance companies, lease finance companies, money market funds, mortgage companies, and other non-depository financial intermediaries. German American Bancorp, Inc. (GABC) Announces Three-for-Two Stock Split

JASPER, Ind., March 27, 2017 (GLOBE NEWSWIRE) -- German American Bancorp, Inc. (NASDAQ:GABC) announced today that its Board of Directors has declared a 3-for-2 stock split on the Company’s authorized and outstanding common shares.  The stock split will be distributed on April 21, 2017 to shareholders of record as of April 6, 2017. 
Shareholders will receive cash in lieu of fractional shares that they would have otherwise been entitled to receive in connection with the stock split, except that those shareholders participating in the Company’s dividend and stock purchase plans will have fractional shares credited to their accounts.  The price paid for fractional shares will be based on the average per share closing prices of German American’s common stock over the five trading days immediately preceding the record date of the split.  In connection with the 3-for-2 stock split, the Board of Directors has approved an amendment to the Company’s Articles of Incorporation to increase the amount of both the issued and authorized common and preferred shares in the same proportion, increasing the number of authorized common shares to 45.0 million. The stock split will increase German American’s outstanding common shares from approximately 15.3 million shares prior to the split to approximately 22.9 million shares post-split.  The Company’s quarterly cash dividend per share will be adjusted going forward for the 3-for-2 stock split.   Commenting on the announcement, Mark A.
